End-User License Agreement
Effective Date: September 2026
This End-User License Agreement (“Agreement”) is between Ryzodus LLC (“Ryzodus,” “we,” “our,” or “us”) and you, the person or organization using any software application, tool, dashboard, script, or integration that Ryzodus develops or operates (collectively, the “Software”). By installing, accessing, or using the Software, or by authorizing the Software to connect to an account you hold with a third-party platform, you agree to this Agreement. If you do not agree, do not use the Software.
1. Scope
The Software includes Ryzodus’s internal operating systems (such as the Ryzodus Command Center), client-facing reporting tools, and integrations that read data from third-party platforms on your behalf, including accounting platforms such as Intuit QuickBooks Online. Use of the ryzodus.com website itself is governed by our Terms and Conditions; this Agreement covers the Software.
2. License
Subject to this Agreement, Ryzodus grants you a limited, non-exclusive, non-transferable, revocable license to use the Software for your own internal business purposes during the term of your engagement with Ryzodus. The Software is licensed, not sold. All rights not expressly granted are reserved by Ryzodus.
3. Connected Accounts and Third-Party Services
Some features of the Software work by connecting to accounts you hold with third-party services (for example, QuickBooks Online, Google Analytics, Google Search Console, or a CRM). When you authorize a connection:
- Authorization is granted through the third party’s own consent process (such as OAuth). Ryzodus never asks for, stores, or sees your password for that service.
- The Software requests the narrowest access that its purpose requires. Where a read-only scope exists, the Software uses it.
- You may revoke the connection at any time from the third-party service’s own settings (for QuickBooks Online: Settings → Apps → Connected apps). Revoking access stops the Software from reading further data from that account.
- Your use of the third-party service remains subject to that service’s own terms and privacy policy. Ryzodus is not responsible for the third-party service.
4. Data
Data the Software reads from a connected account is used only to provide the service you engaged Ryzodus for, such as reporting, reconciliation, capacity planning, and system diagnosis. It is stored on systems controlled by Ryzodus, is not sold or rented to anyone, and is not shared with third parties except as needed to deliver the service and as described in our Privacy Policy. On termination of your engagement, or on request, Ryzodus will delete connected-account data it holds within a reasonable time, except where retention is required by law or for our own accounting records.
5. Restrictions
You may not copy, modify, distribute, sell, sublicense, or reverse-engineer the Software; use it to violate any law or any third party’s rights; use it to access an account you are not authorized to access; or remove any proprietary notice from it.
6. Intellectual Property
The Software, including its design, code, system models, documentation, and all improvements, is and remains the property of Ryzodus LLC. Your data remains yours. Nothing in this Agreement transfers ownership of either.
7. Disclaimer of Warranties
The Software is provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Ryzodus does not warrant that the Software will be uninterrupted, error-free, or that data read from a third-party service will be complete or current. Figures presented by the Software are derived from the connected sources and are not a substitute for your own books, records, or professional advice.
8. Limitation of Liability
To the fullest extent permitted by law, Ryzodus LLC is not liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of data, revenue, or profits, arising from or related to the Software. Ryzodus’s total liability under this Agreement will not exceed the fees you paid to Ryzodus for the service in the three months before the claim arose.
9. Term and Termination
This Agreement applies for as long as you use the Software. Either party may end it at any time; you do so by ceasing to use the Software and revoking any connected accounts, and Ryzodus may do so by disabling your access. Sections 4 through 8 and 11 survive termination.
10. Changes
We may update this Agreement from time to time. The effective date above will change when we do. Continued use of the Software after a change means you accept the updated Agreement.
11. Governing Law
This Agreement is governed by the laws of the State of Montana, United States, without regard to conflict of law principles.
